Olayiwola Owoade OLADELE is a Professor of Law at College of Law, Bowen University Iwo.

This scholar has contributed to knowledge in the law of corporate management and finance, especially in business ethics, securities regulation, and the responsibility of corporate lawyers. The Companies and Allied Matters Act 2020, Business Facilitation (Miscellaneous Provisions) Act 2023, Investments and Securities Act 2007, the Securities and Exchange Commission Rules and Regulations, and Rules of Professional Conduct in Legal Practice largely regulate this area of the law. Mindful of the distinction between the validity and efficacy of law, he has subjected many key provisions of most of these statutes that the court rested to critical analyses or have not contextualize them. In addition, given their socio-economic context, he has evaluated some others that they have interpreted to justify the need for law reform.

In the area of capital market regulation, he has made a case for an efficient legal and institutional framework for the regulation of securities dealings and the protection of corporate investors as well as the financing of Small and Medium Enterprises (“SMEs”). He has situated securities regulation in Nigeria in the global legal scheme for ensuring the efficiency, transparency, and fairness of securities markets.

In the area of International Financial Regulation, he has identified the major factors that are responsible for debt problems in developing countries and proposed suitable legal responses to the problem.

The increasing need for the best corporate governance practices globally has prompted scholars to advocate for the best business and professional ethics in corporate legal counseling. He has advocated for laws and rules that should show legal, accounting, finance, and securities professionals the way to efficacious regulatory compliance as well as transparent and fair dealing.

In the area of securities information disclosure and legal protection of investors, he has investigated the philosophical bases and appraised the contents of securities information disclosure provisions in Nigerian law with a view to determining their efficacy. He has identified vital gaps in the existing law and made a case for suitable law reforms. 

The challenges facing the securities markets globally and the response of legal systems to them have also engaged his attention. They include issues of corporate governance, internal controls, including audits, and factors that affect the value of securities and investors’ confidence in and competitiveness of securities markets.

The scholar is currently engaged in multidisciplinary research pursuant to the realization of Sustainable Development Goals (SDGs), which takes him beyond his traditional and specialized legal research engagements to the intersections between drama and law.
