Olayiwola Owoade OLADELE is a Professor of Law at College of Law, Bowen University Iwo.
I have contributed to knowledge in the law of corporate management and finance, especially in business ethics, securities regulation and the responsibility of corporate lawyers. The Companies and Allied Matters Act 2020 the Investments and Securities Act 2004, the Securities and Exchange Commission Rules and Regulations and Rules of Professional Conduct in Legal Practice largely regulate this area of the law. I have done a legal analysis of some of the provisions of these statutes that the courts have not interpreted. In addition, I have evaluated some others that they have interpreted so as to make a case for law reform in the areas of corporate ultra vires rule, corporate crimes and the functioning of the Corporate Affairs Commission, which is the statutory body that administers the Companies and Allied Matters Act.
In the area of capital market regulation I have made a case for an efficient legal and institutional framework for the regulation securities dealings and the protection of corporate investors as well as the financing Small and Medium Enterprises (“SMEs”). I have tried to situate our securities regulation in the global legal paradigm for ensuring the efficiency, transparency and fairness of securities markets.
In the field of International Financial Regulation, I have identified the major factors that are responsible for debt problem in developing countries and proposed suitable legal responses to the problem.
The increasing need for best corporate governance practices globally has prompted me to advocate for the best business and professional ethics in corporate legal counseling. I have advocated for laws and rules that will prompt legal, accounting, finance and securities professionals to efficacious regulatory compliance as well as transparent and fair dealing.
In the area of securities information disclosure and legal protection of investors, I have investigated the philosophical bases and appraised the contents of securities information disclosure provisions in the Nigerian law with a view to determining their efficacy. I have identified some gaps in the existing law and argued for suitable law reform.
The challenges facing the securities markets globally and the response of legal systems to them have also engaged my attention. They include issues of corporate governance, internal controls including audit and factors that affect the value of securities and investors’ confidence in and competitiveness of securities markets.
